PREAMBLE & B2B NOTICE
This Agreement is a binding legal contract between Digifolio Ltd (Company No. 15821992) and the Licensee.
IMPORTANT: BUSINESS TO BUSINESS ONLY. This Agreement is not intended for consumers as defined by the Consumer Rights Act 2015. By purchasing, the Licensee confirms acquisition for professional or trade purposes.
CLAUSE 1: LICENSE GRANT & SCOPE
1.1 GRANT:
Subject to full payment of the License Fee, Licensor grants a perpetual, non-exclusive, non-transferable, royalty-free license to use the ADO Master Architect's Codex ("Licensed Materials") in accordance with the Tier purchased.
TIER 1 (Implementation)
Internal deployment within Licensee's organization OR a single designated client project. Separate licenses required for each distinct commercial implementation.
TIER 2 (Architect Partner)
Unlimited deployment across subsidiaries. Includes rights to rebrand for internal documentation and bundle within service contracts (Subject to Clause 1.3).
CLAUSE 2: ZERO-LIABILITY & "AS-IS"
The Licensed Materials are provided "AS IS." Licensor disclaims all implied warranties. Licensee assumes all risk for implementation. NO SUPPORT: Licensor is under no obligation to provide technical maintenance, updates, or error corrections.
CLAUSE 3: MANDATORY ATTRIBUTION
Any deployed system MUST display the following attribution in a non-editable format:
3.3: Removal of the embedded cryptographic Attribution Fingerprint voids this license instantly.
CLAUSE 4: COMPLIANCE & DAMAGES
4.4 LIQUIDATED DAMAGES: In the event of material breach regarding unauthorized distribution, resale, or persistent removal of attribution, Licensee agrees to pay liquidated damages equal to ten (10) times the original License Fee paid.
CLAUSE 5: LIMITATION OF LIABILITY
Subject to standard English law exceptions, Licensor's total aggregate liability shall be limited to the total License Fee paid by the Licensee. All indirect or consequential losses (Loss of profit/data) are strictly excluded.
