SECTION 01

Acceptance of Terms

By accessing and using the ADO Codex platform (the "Service"), owned and operated by Digifolio Ltd, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and Digifolio Ltd. If you do not agree with any part of these terms, you must immediately discontinue use of the Service.

SECTION 02

User Accounts & Authentication

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms or engage in suspicious activities.

SECTION 03

Prohibited Uses

You agree not to: (a) Use the Service for any illegal purpose or in violation of any laws; (b) Attempt to scrape, DDoS, penetrate, or compromise the infrastructure; (c) Reverse engineer, decompile, or disassemble any software; (d) Use automated systems to access the Service beyond reasonable rates; (e) Infringe upon intellectual property rights. Violations result in immediate IP termination and legal escalation.

SECTION 04

Intellectual Property Rights

All content, designs, logos, trademarks, and software associated with ADO Codex are the exclusive property of Digifolio Ltd. The ADO Codex blueprint, including all documentation, workflows, and architecture, is protected intellectual property. License purchase grants implementation rights only—no resale, redistribution, or modification for commercial redistribution is permitted.

SECTION 05

Payment Terms (Paddle.com)

All payments are processed through Paddle.com, acting as our authorized reseller and merchant of record. By completing a purchase, you agree to Paddle's Terms of Service and Privacy Policy. Prices are in USD unless otherwise specified. All fees are non-refundable once digital delivery is initiated.

SECTION 06

Refund Policy (No Refunds - Digital IP)

Due to the nature of digital intellectual property, all sales are final. Once the ADO Codex assets are delivered, no refunds will be issued under any circumstances. This includes, but is not limited to: change of mind, failure to implement, or inability to deploy. Purchase constitutes acknowledgment of this no-refund policy.

SECTION 07

Limitation of Liability

To the maximum extent permitted by law, Digifolio Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption. Our total liability shall not exceed the amount paid for the Service in the 12 months preceding the claim. The Service is provided "AS IS" without warranties of any kind.

SECTION 08

Indemnification

You agree to indemnify, defend, and hold harmless Digifolio Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from: (a) Your use of the Service; (b) Your violation of these Terms; (c) Your violation of any third-party rights; (d) Any content you submit or transmit through the Service.

SECTION 09

Dispute Resolution & Arbitration

Any disputes shall be resolved through binding arbitration under the International Chamber of Commerce (ICC) Rules. Arbitration shall take place in London, UK, unless otherwise agreed. The arbitrator's decision shall be final and binding. Both parties waive the right to a jury trial or class action proceedings.

SECTION 10

Governing Law (Multi-Jurisdiction)

These Terms shall be governed by the laws of England and Wales, with additional compliance for GDPR (EU), CCPA (California), UK GDPR, and other international regulations as applicable. For users outside the UK, these terms incorporate conflict of law principles to ensure global enforceability.

Important Legal Notice

These terms contain a binding arbitration clause and class action waiver. By using the Service, you agree to resolve disputes through individual arbitration and waive your right to a jury trial or participation in class actions.

Third-Party Services

This platform integrates with third-party services (Paddle, Stripe, GCP, etc.). Each service has its own terms and privacy policies. We are not responsible for third-party services, and you use them at your own risk.

These Terms of Service work in conjunction with our Privacy Policy and License Agreement.
